Lead vendors are solely responsible for ensuring that the leads they supply to SB Capital Group are generated in compliance with all applicable laws, including TCPA, GDPR where applicable, and all relevant data protection legislation. SB Capital Group takes reasonable steps to ensure the quality and compliance of leads sourced from vendors. However, we make no warranty, express or implied, that any lead will result in a contact, conversion, submission, or funded deal. Lead performance depends on factors outside our control including the buyer's sales process, timing, and market conditions.
Leads are sold as data only. Once delivered to a buyer, SB Capital Group's responsibility for the lead is discharged.
Payment terms for lead purchases will be agreed between SB Capital Group and the buyer prior to any lead delivery. Standard terms are payment within 7 days of invoice unless otherwise agreed in writing. Late payment may result in suspension of lead supply.
SB Capital Group reserves the right to withhold lead delivery until payment is confirmed for new buyer relationships.
Given the nature of lead data, refunds are not offered as standard. Where a buyer can demonstrate that leads delivered do not match the agreed specification (incorrect data fields, wrong geography, or demonstrably invalid contact information), SB Capital Group will at its discretion offer replacement leads or a credit against future orders. Claims must be made within 48 hours of delivery.
SB Capital Group maintains strict confidentiality on behalf of both vendors and buyers. We do not disclose vendor identities to buyers, or buyer identities to vendors, without the explicit written consent of the relevant party. Both parties agree to maintain the confidentiality of any information shared with them by SB Capital Group in the course of the business relationship.
Buyers accept full responsibility for ensuring their use of leads complies with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and all applicable federal, state, and local laws and regulations from the point of lead delivery. SB Capital Group accepts no liability for any regulatory action, fine, penalty, or claim arising from the buyer's outreach activities.
Vendors warrant that all leads supplied to SB Capital Group are generated in compliance with all applicable laws and that proper consent has been obtained from all data subjects.

To the maximum extent permitted by law, SB Capital Group's total liability to any party in connection with any commercial arrangement shall not exceed the total fees paid to SB Capital Group by that party in the 30 days preceding the event giving rise to the claim.

These Terms of Service shall be governed by applicable law. Any disputes shall be resolved through good faith negotiation in the first instance. Where negotiation fails, disputes shall be referred to the courts of competent jurisdiction.
